Nadav Aschner, Partner

Mr. Aschner has negotiated and drafted transaction documents for cannabis businesses, including mergers and acquisition documents with aggregate transaction values of over $10 million, corporate formation and corporate financing documents, leases and associated real estate documents, as well as intellectual property agreements.

Caleb Karpay, Senior Associate


Mr. Karpay advises on corporate and securities law matters, drawing upon investment management experience to form domestic and offshore venture capital, credit, real estate, and hedge funds, among other early-stage investment structures. He also has extensive experience counseling clients on the federal and state securities laws that impact funds, advisers, and investors.

Jeff Wilson, Of Counsel

Mr. Wilson specializes in all cannabis law matters, including both marijuana and industrial hemp. He has assisted numerous clients in successfully obtaining state and local licenses, counseled many businesses and individuals on regulatory compliance, has achieved favorable results for clients in civil litigation, and has successfully defended clients against criminal charges, civil forfeiture actions, and administrative violations alleged by the Colorado Marijuana Enforcement Division and local licensing authorities.

Chris Baumgartner, Of Counsel

Mr. Baumgartner has been assisting clients with resolving disputes for more than 20 years. Over his career, Chris has litigated hundreds of cases, focusing primarily on business, intellectual property, real estate, and construction disputes. As a litigator and “problem solver” an ever-increasing portion of Mr. Baumgartner’s practice is in an advisory role to clients.

Aiming to identify and address the problem before it reaches the point where litigation is inevitable, Mr. Baumgartner strives to develop meaningful relationships with clients to provide more than reactionary legal counsel. Read more about Chris here.

Dan Sweet, Of Counsel

He prioritizes achieving his clients’ personal, business, and tax goals by using both his legal and tax experience.
